Tax authorities are proposing that entrepreneurs adopt a standard charter.
Using a model charter allows one to avoid the difficulties associated with drafting it individually and significantly simplifies the company registration process.
One of the tax authorities' priority tasks is to reduce the number of refusals in the state registration of legal entities. Among the reasons for such refusals are errors in the preparation of founding documents, for example an improperly drafted charter, the press service of the Federal Tax Service Directorate for the Republic of Tatarstan reports. Using a model charter allows one to avoid the difficulties associated with drafting it individually and significantly simplifies the company registration process. On the Federal Tax Service of Russia's website there is a convenient online service "Choice of a Model Charter." It will help you select the most suitable option: simply answer a few questions, and the system will automatically offer one of the 36 model charters approved by the Ministry of Economic Development of the Russian Federation.
Advantages of using a model charter:
• 100-percent ready to use: requires no revision or customization — "take it and use it";
• free: no costs for its development;
• economical: no need to pay a state fee for a copy of the charter; it is always available online on the official website of the Federal Tax Service of Russia;
• impersonal: does not contain the company's name, its location or the size of the authorized capital (these details are indicated in the founders' minutes, registration applications and the Unified State Register of Legal Entities — accordingly, if they change there is no need to amend the charter);
• not submitted for registration: it is not filed with the tax authority for registration;
• paperless: it does not need to be stored physically — it is simply impossible to lose.
• legalized: the model charters are approved by the authorized body, the Ministry of Economic Development of the Russian Federation (Order of 01.08.2018 No. 411).
