      For the convenience of taxpayers, online services that help prospective entrepreneurs quickly and accurately prepare documents for company formation are available on the Federal Tax Service of Russia’s website and are constantly being improved.

      Before submitting documents, it is important to ensure that there are no restrictions for future founders and managers. The “Transparent Business” service, in the “Restrictions on participation in legal entities” section, allows you to check for such restrictions established by law. Their presence will prevent registration until the restriction period expires.

      The “State Online Business Registration” service will help automate the document preparation process. It allows you to:

      - Accurately complete the application for creation (form R11001);

      - Correctly select OKVED codes (it is required to specify at least four digits);

      - Generate a complete package of documents and send it to the registering authority.

      Built-in restriction checks are also performed during the application completion process.

      The organization’s address in the Unified State Register of Legal Entities (EGRUL) must correspond to the data of the State Address Registry (GAR). You can check whether an address is included in the registry using the “Federal Information Address System” (FIAS) service. If the address is not in the GAR, you should apply to the local government authorities to have it added. That application can be submitted via the Federal Tax Service of Russia’s services.

      To avoid difficulties with drafting your own charter, you can use the ready-made model charter approved by Order No. 411 of the Ministry of Economic Development of Russia dated 01.08.2018. The “Selection of Model Charter” service will help you choose a suitable option. The model charter itself does not need to be attached to the application — it is sufficient to indicate its use in the application.

      The organization’s name must comply with the norms of the Civil Code of the Russian Federation (Art. 1473). In particular:

      - The use of the words “Russian Federation”, “Russia” and their derivatives requires a special permit from the Ministry of Justice of Russia.

      - Similar rules apply to the names “Republic of Tatarstan”, “Tatarstan” and their derivatives; permission is required from the Ministry of Justice of Tatarstan.

      - It is prohibited to use in names the official designations of foreign states, as well as federal and municipal authorities.

      It is recommended to pay particular attention to the following common errors when submitting documents for registration:

      - Discrepancies in the name, address, or information about the founders or manager in different documents;

      - Missing mandatory documents (for example, the decision on establishment or the charter) or submission of not all of their pages;

      - Submission of two identical document packages for the registration of the same legal entity;

      - Providing a lease agreement or a letter of guarantee from a person whose ownership right to the premises has been terminated (according to the Unified State Register of Real Estate — EGRN);

      - Indicating the legal entity’s address that is not the residential address of the founder or the head of the legal entity;

      - Including as founders or managers a person whose bankruptcy with liquidation or sale of assets was completed less than 3 years ago (5 years for individual entrepreneurs);

      - Sending photographs of documents instead of scanned copies in TIF or PDF format.

      Using the Federal Tax Service of Russia’s services and complying with the listed requirements will minimize risks and allow state registration to be completed as quickly as possible.
